Rollins, Inc. issues $500M in Senior Notes due 2035
On February 24, 2025, Rollins, Inc. issued $500 million aggregate principal amount of 5.25% Senior Notes due 2035. The net proceeds will be used to repay outstanding borrowings under the Credit Facility and for general corporate purposes. The Notes are senior unsecured obligations and are guaranteed by certain subsidiaries. Interest is payable semiannually, and redemption is possible under certain conditions. If a change of control repurchase event occurs, the Company may be required to repurchase the Notes. The Indenture includes covenants limiting certain actions by the Company and its subsidiaries. An exchange offer and registration rights agreement were also entered into in connection with the issuance.
