S&P Global Announces Private Offering of $2 Billion Senior Notes by Mobility Global Ahead of Spin-off

On May 19, 2026, S&P Global Inc. announced the pricing of a private offering of $2 billion aggregate principal amount of senior notes by Mobility Global Inc., a recently formed holding company for S&P Global's Mobility division. The notes, consisting of $650 million of 5.050% senior notes due 2029, $650 million of 5.450% senior notes due 2031, and $700 million of 6.050% senior notes due 2036, are being offered to qualified institutional buyers under Rule 144A and to persons outside the United States in compliance with Regulation S. The offering is expected to close on May 29, 2026, subject to customary closing conditions. The net proceeds will be used to finance a cash payment to S&P Global as consideration for the transfer of certain assets, liabilities, and entities to Mobility Global, with any remaining proceeds to be used for estimated fees and expenses and general corporate purposes. The notes will be entitled to the benefits of a registration rights agreement, allowing for the exchange of the notes for new notes registered under the Securities Act or, under certain circumstances, a shelf registration statement for the resale of the notes.
