Sterling Infrastructure Amends RHB Operating Agreement
Sterling Infrastructure, Inc. amended its operating agreement with Road and Highway Builders, LLC (RHB) on December 31, 2024. The amendment changes the way RHB's results are reported under GAAP but does not affect RHB's contribution to Sterling's consolidated net income. It also modifies the disposition process in the event of the death or disability of RHB's co-owner, Rich Buenting. The amendment provides four alternatives for disposition, including continuation of the existing ownership structure, acquisition of Sterling's interest by RHB, acquisition of RHB by Sterling, or joint sale to a third party. This amendment aligns with GAAP, requiring Sterling to stop consolidating RHB's results, resulting in a significant non-cash net gain. RHB's revenue will no longer be included in Sterling's consolidated revenue starting in 2025.
