Seagate Announces Completion of Senior Notes Exchange Offers and Consent Solicitations

The Exchange Offers involved the exchange of outstanding notes for new notes issued by Seagate Data Storage Technology Pte. Ltd. On June 30, 2025, Seagate accepted for exchange all validly tendered Old Notes, issuing New Notes in return. The transaction involved a total of $2.8 billion in principal amount of Old Notes being exchanged for New Notes. Additionally, Seagate entered into Registration Rights Agreements with the dealer managers to facilitate the registration of the New Notes under the Securities Act of 1933, if necessary. The offering was made to qualified institutional buyers and outside the United States.
