Seagate Announces Private Exchange of $600M Notes for Cash and Shares
Summary
Seagate Technology Holdings plc and its subsidiary Seagate HDD Cayman entered into exchange agreements to exchange $600 million principal amount of 3.50% Exchangeable Senior Notes due 2028 for approximately $599.2 million in cash and a number of ordinary shares. The exchanges are expected to be completed on or about February 17, 2026, subject to customary closing conditions. The notes being exchanged will be retired upon completion of the exchanges, with approximately $400 million in aggregate principal amount of notes remaining outstanding.
