Atlassian Corporation Enters New $750M Credit Agreement
Summary
On August 12, 2024, Atlassian Corporation (TEAM) entered into a new Amended and Restated Credit Agreement, replacing its existing Credit Agreement dated October 28, 2020. The new agreement provides for a $750 million senior unsecured revolving credit facility that matures on August 12, 2029. The new Credit Agreement includes terms for interest rates, fees, and financial covenants, such as a consolidated leverage ratio not to exceed 3.50 to 1.00 as of the end of each fiscal quarter, with a step-up to 4.50 to 1.00 for fiscal quarters in which certain material acquisitions are consummated, and for a period of four fiscal quarters thereafter. The Credit Agreement also includes customary covenants regarding restrictions on mergers, consolidations, asset dispositions, and granting liens.
