Fernandez will retire as a director, effective September 30, 2025. The Board has appointed Jason Warner as a new director, effective October 1, 2025. Mr. Warner, currently co-Founder and co-CEO of Poolside, Inc., will receive an annual retainer of $55,000 and an annual grant of restricted stock units valued at $290,000. The Board and the Company express gratitude for Ms. Fernandez's contributions during her nearly 10-year tenure.
