Amendment of CEO Employment Agreement
Summary
On January 23, 2025, Tenet Healthcare Corporation entered into an amended and restated employment agreement with its CEO, Saumya Sutaria, M.D. The agreement governs his continued service as CEO and Chairman of the Board through December 31, 2028, with automatic one-year extensions unless terminated. Dr. Sutaria will receive an annualized base salary of $1.5 million and is eligible for additional compensation through the Company's Annual Incentive Plan and long-term incentive awards. The agreement also includes provisions for severance in the event of termination without cause or voluntary resignation with good reason, particularly in connection with a change of control.
