Amendment of CEO Employment Agreement

Details

The agreement governs his continued service as CEO and Chairman of the Board through December 31, 2028, with automatic one-year extensions unless terminated. Dr. Sutaria will receive an annualized base salary of $1.5 million and is eligible for additional compensation through the Company's Annual Incentive Plan and long-term incentive awards. The agreement also includes provisions for severance in the event of termination without cause or voluntary resignation with good reason, particularly in connection with a change of control. Dr. Sutaria is also subject to confidentiality, non-disparagement, non-solicitation, and noncompetition covenants.
