T-Mobile US Extends Exchange Offers and Consent Solicitations for USCC Debt Securities

On July 2, 2025, T-Mobile US, Inc. announced the extension of its Exchange Offers and Consent Solicitations for certain outstanding senior notes of United States Cellular Corporation (USCC). The offers, originally set to expire on July 1, 2025, have been extended to August 1, 2025. This extension was made in furtherance of the Securities Purchase Agreement, dated May 24, 2024, under which T-Mobile US, Inc. agreed to acquire substantially all of USCC's wireless operations and select spectrum assets.
