Summary
On February 19, 2025, United Rentals, Inc. (URI) agreed to terminate its Merger Agreement with H&E Equipment Services, Inc., resulting in the withdrawal of URI's cash tender offer to purchase all issued and outstanding shares of H&E. As part of the termination, H&E will pay URI a $63,523,892 termination fee. Concurrently, the bridge facility commitment letter entered into with several financial institutions in connection with the Merger Agreement has also been terminated.
