Visa Inc. Stockholders Approve Amendments to Certificate of Incorporation
On January 23, 2024, Visa Inc. held its Annual Meeting of Stockholders where stockholders approved amendments to the Company's Seventh Amended and Restated Certificate of Incorporation to authorize exchange offers that would release transfer restrictions on portions of the Company's Class B common stock. The amendments were approved by a majority vote of the stockholders and became effective upon filing with the Secretary of State of Delaware on January 24, 2024. The Company also filed a restatement of the Certificate, which became effective upon filing and integrates but does not further amend the Certificate.
