Visa Announces $1.4 Billion Release from Convertible Preferred Stock

On August 8, 2025, Visa Inc. announced it will release approximately $1.4 billion from its Series B and Series C Convertible Participating Preferred Stock. This release, conducted in connection with the fourth mandatory release assessment, results from an assessment of the ongoing risk of liability from certain litigation related to the Visa Europe acquisition. The release will lead to a downward adjustment of the Class A Common Equivalent Number and a partial conversion of the Preferred Stock into Series A Convertible Participating Preferred Stock. Effective August 18, 2025, the Class A Common Equivalent Number for each series of Preferred Stock will be updated, and the Company will issue Series A Preferred Stock to holders of record. The Series A Preferred Stock and any resulting Class A Common Stock will be issued under an exemption from Securities Act registration requirements.
