Pruitt as its new Chief Executive Officer, effective January 1, 2026. Pruitt, who currently serves as Chief Operating Officer, will receive an annual base salary of $1,000,000, a target short-term incentive of 135% of his annual base salary, and a target long-term incentive award opportunity of 700% of his annual base salary. J. Thomas Hill, the current CEO, will step down from his position but remain as Executive Chairman with a compensation package including an annual base salary of $1,000,000, a target short-term incentive of 135% of his annual base salary, and a target long-term incentive award opportunity of 300% of his annual base salary. The Board approved these compensation arrangements on December 12, 2025.
