Verisk Analytics Inc.
Verisk Terminates Merger Agreement with AccuLynx and Announces Debt Redemption
Summary
Verisk Analytics, Inc. (Nasdaq: VRSK) has terminated its merger agreement with AccuLynx due to the Federal Trade Commission's (FTC) failure to complete its review by the agreed termination date of December 26, 2025. Verisk also plans to redeem $1.5 billion in senior notes issued in connection with the acquisition. AccuLynx disputes the validity of Verisk's termination and Verisk intends to defend against any assertions. The redemption of the notes is required by a special mandatory redemption provision. Verisk's leverage would have been 1.9 times LTM adjusted EBITDA pro forma for the redemption. Verisk remains committed to its capital allocation strategy, balancing investments and returning capital to shareholders.
