Vistra Vision Holdings to Modify Equity Purchase Agreement Based on Financing Condition
Summary
Vistra Vision Holdings I LLC, a subsidiary of Vistra Corp., has entered into a letter agreement with VV Aggregator Holdings 1 LLC and certain Nuveen funds to amend its Unit Purchase Agreement (UPA) contingent on Vistra Corp. successfully pricing at least $1.25 billion of notes through a private offering by December 20, 2024. If the financing condition is met, the purchase price will be payable in a single installment upon closing the equity purchase on December 31, 2024. Otherwise, the original UPA terms will remain in effect.
