Verizon Announces Preliminary Results of Exchange and Cash Offers for Outstanding Notes
Verizon Communications Inc. announced the expiration and preliminary results of its private exchange offers for 10 series of notes and the expiration of related tender offers. The Exchange Offers and Cash Offers were open to certain investors and expired on June 18, 2025. The preliminary results indicate that certain series of notes were tendered for exchange and purchase. Verizon expects to issue new notes and settle the offers by June 25, 2025. No cash proceeds will be received from the Exchange Offers. The new notes will not be registered under the Securities Act of 1933 and may not be offered or sold in the United States absent registration or an applicable exemption.
