Wayfair Announces Private Offering of $700 Million Senior Secured Notes

On November 4, 2025, Wayfair Inc. announced through a press release that its subsidiary, Wayfair LLC, priced a private offering of $700 million in aggregate principal amount of 6.75% senior secured notes due 2032. The notes are not registered under the Securities Act of 1933 and are being offered only to qualified institutional buyers in accordance with Rule 144A and to non-U.S. persons under Regulation S. The net proceeds from the offering will be used to repurchase a portion of Wayfair's outstanding convertible senior notes due 2027 and 2028 and for general corporate purposes, which may include repayment of other existing indebtedness.
