Dr. John Malone to Transition to Chair Emeritus of Warner Bros. Discovery Board
On April 8, 2025, Dr. John Malone notified the Board of Directors of Warner Bros. Discovery, Inc. of his decision not to stand for re-election following the expiration of his current term, which will expire at the Company's 2025 Annual Meeting of Stockholders. Dr. Malone, who is chair of the Company's Nominating and Corporate Governance Committee, will transition to the role of Chair Emeritus, effective upon the expiration of his term. In recognition of his service, the Board designated Dr. Malone as Chair Emeritus, allowing him to continue attending Board meetings in an advisory capacity without voting rights. On April 9, 2025, the Board adopted a resolution to nominate Anton Levy for election at the 2025 Annual Meeting of Stockholders. On April 11, 2025, the Company issued a press release announcing Dr. Malone's decision.
