David V. Goeckeler will resign as Chief Executive Officer upon the completion of the spin-off. Irving Tan, currently Executive Vice President of Global Operations, has been appointed as the new CEO, effective upon the spin-off's completion. The board also resigned three directors, David V. Goeckeler, Thomas Caulfield, and Miyuki Suzuki, who will join the board of the new Sandisk Corporation post-spin-off. Three new directors, Irving Tan, Bruce Kiddoo, and Roxanne Oulman, were appointed to the board, with Kiddoo and Oulman receiving director compensation. An indemnification agreement has been adopted for all board members and executive officers.
