Details
completed the acquisition of Barnes Group Inc. for a total enterprise value of approximately $3.6 billion. The acquisition was approved by Barnes shareholders and resulted in the delisting of Barnes' common stock from the New York Stock Exchange. As part of the transaction, Barnes Group Inc. will cease to exist as a standalone entity and will become a wholly-owned subsidiary of Goat Holdco, LLC. The transaction was announced on October 7, 2024, and approved by Barnes shareholders at the Company's Special Meeting of Shareholders on January 9, 2025. Barnes shareholders received $47.50 per share in cash. The transaction included the entry into new debt instruments and the termination of existing credit agreements.
