Coeur Mining Settles Litigation with Maverix Metals, Issues Shares

On March 26, 2025, Coeur Mining, Inc. issued 595,267 shares of its common stock to Maverix Metals Inc. as part of a settlement agreement to resolve litigation regarding a royalty on the Kensington mine property. The issuance was made pursuant to the exemption from registration requirements under Section 4(a)(2) of the Securities Act of 1933. The settlement resolves the Maverix Litigation and amends the terms of the royalty. The opinion of Gibson, Dunn & Crutcher LLP is incorporated by reference and is filed as Exhibit 5.1 to this report.
