CoreWeave, Inc. Announces New Material Agreement with OpenAI OpCo, LLC

On September 23, 2025, CoreWeave, Inc. entered into a new order form under its existing Master Services Agreement (MSA) with OpenAI OpCo, LLC. This agreement, which is a material definitive agreement, commits OpenAI to pay CoreWeave up to approximately $6.5 billion through May 31, 2031, for providing cloud computing capacity. The MSA will remain in effect until all orders are fulfilled or the agreement is terminated. Financial statements and exhibits related to this agreement are furnished with the filing.
