Corteva, Inc. Announces Material Agreement Amendment for Separation

On August 20, 2026, Corteva, Inc. announced a material agreement amendment in connection with its previously disclosed separation into two independent companies. The amendment, which is part of the exchange offers and consent solicitations for the outstanding senior notes issued by EIDP, Inc., a subsidiary of Corteva, Inc., will eliminate certain restrictive covenants and events of default from the base indenture and the offer to repurchase upon change of control provisions from the supplemental indentures. The Fourth EIDP Supplemental Indenture, effective as of August 20, 2026, reflects these changes and will become operative upon the consummation of the separation. This amendment materially modifies the rights of security holders.
