Flex Completes Spin-off of Nextracker Shares
On January 2, 2024, Flex Ltd. completed the spin-off of its remaining interest in Nextracker Inc. to its shareholders. This involved the distribution of Nextracker shares to Flex shareholders and a subsequent merger, which resulted in Nextracker becoming a wholly-owned subsidiary of Yuma, with Yuma in turn being a subsidiary of Nextracker. A Tax Matters Agreement was also entered into to govern tax obligations post-spin-off. These transactions were publicly announced via a press release.
