ServiceNow Updates Restated Bylaws
On February 11, 2025, ServiceNow, Inc. updated its Restated Bylaws through amendments adopted by its Board of Directors. The changes include a forum selection provision for legal actions, adjustments to the stockholder notice window for proposing business or nominating directors, updates to director nominations to comply with SEC rules, a provision for the color of proxy cards, the elimination of the requirement to make a stockholder list available for inspection, and the removal of classified board structure provisions. The Restated Bylaws have been filed as Exhibit 3.1 to this Current Report on Form 8-K.
