Onto Innovation Inc. Adopts Nonqualified Deferred Compensation Plan
Summary
On November 19, 2025, Onto Innovation Inc. adopted the Onto Innovation Nonqualified Deferred Compensation Plan, effective January 1, 2026. The Plan allows eligible employees and non-employee directors to defer up to 75% of their annual base salary and 100% of their annual bonus, performance share units, and restricted stock units. Non-employee directors can defer up to 100% of their annual retainer, meeting fees, and restricted stock units. The Plan is intended to comply with Section 409A of the Internal Revenue Code.
