Details
The net proceeds of the offering were approximately $2,582 million after deducting underwriting discounts and commissions and estimated offering expenses. The Notes were issued under the Senior Indenture, dated as of November 14, 2025, between CSC and The Bank of New York Mellon Trust Company, N.A., as trustee, as supplemented by the Fourth Supplemental Indenture, dated as of August 12, 2026. The offering was made pursuant to the prospectus supplement dated as of August 10, 2026, and the accompanying prospectus dated December 1, 2023, filed with the Securities and Exchange Commission pursuant to CSC's effective registration statement on Form S-3 (File No. 333-275858).
