(SpaceX) completed the acquisition of Anysphere, Inc. (Cursor) through a merger with a wholly owned subsidiary, X67 Inc. The merger resulted in Cursor becoming a wholly owned subsidiary of SpaceX. The acquisition was executed by converting Cursor's common and preferred stock into SpaceX Class A common stock, converting vested restricted stock units into SpaceX Class A common stock, and assuming unvested restricted stock units and stock options. The transaction was completed in reliance on the exemption from registration requirements under Section 4(a)(2) of the Securities Act of 1933.
