Skyworks Solutions Announces Merger with Qorvo
Skyworks Solutions, Inc. has entered into an Agreement and Plan of Merger with Qorvo, Inc., a Delaware corporation. Under the terms of the agreement, Merger Sub I, a wholly-owned subsidiary of Skyworks, will merge with and into Qorvo, with Qorvo surviving as a wholly-owned subsidiary of Skyworks. Immediately following the first merger, Qorvo will merge with and into Merger Sub II, a wholly-owned subsidiary of Skyworks, with Merger Sub II as the surviving entity. The merger is expected to result in Skyworks and Qorvo equityholders owning approximately 37% and 63%, respectively, of the combined company on a pro forma basis. The merger is subject to regulatory approvals and other customary closing conditions.
