HubSpot, Inc. Amends By-laws to Designate Exclusive Forum for Securities Complaints
On March 11, 2026, HubSpot, Inc.'s Board of Directors approved an amendment to the Company's sixth amended and restated by-laws to designate federal district courts in the United States as the exclusive forum for resolving any complaint asserting a cause of action arising under the Securities Act of 1933, as amended, the Securities Exchange Act of 1934, as amended, or the respective rules and regulations promulgated thereunder, unless the Company consents in writing to the selection of an alternative forum.
