ServiceNow Inc. Shareholders Approve Amendments to Certificate of Incorporation and Elect Directors
On May 22, 2025, ServiceNow, Inc. shareholders approved amendments to the Company's Certificate of Incorporation, including Delaware law provisions regarding officer exculpation, elimination of supermajority voting provisions, and immaterial changes. The shareholders also elected directors and voted on several proposals, including executive compensation, ratification of the independent auditor, and other amendments to the Certificate of Incorporation. The amendments became effective on May 23, 2025. A restated Certificate of Incorporation is filed as Exhibit 3.1 to this Current Report on Form 8-K.
