Waste Management, Inc. Amends Certificate of Incorporation to Modify Officer and Director Exculpation
Waste Management, Inc. announced at its Annual Meeting on May 14, 2024, that its stockholders approved an amendment to the Company's Third Restated Certificate of Incorporation to eliminate or limit the personal liability of certain officers for monetary damages associated with claims of breach of the duty of care. The amendment also simplifies the existing exculpation provision related to directors. This amendment aligns the Company's charter with potential future amendments to the Delaware General Corporation Law regarding officer and director liability. Additionally, at the same meeting, shareholders ratified the appointment of Ernst & Young LLP as the Company's independent auditors for the fiscal year ending December 31, 2024, approved the Company's executive compensation on an advisory basis, and approved an amendment to the Certificate of Incorporation to provide for officer exculpation.
