The Company Actions Tracker is your real-time feed of material corporate events extracted from 8-K SEC filings. We use AI to parse raw SEC documents and surface the events that historically correlate with price movements.

What you'll see: A real-time table of recent 8-K filings with:
- Company name and ticker

- Filing date and time
- AI-generated summary
- Impact score (High/Medium/Low)
- Tags for quick categorization
Understanding the Main View
The Filing Table
Each row represents one 8-K filing with key information at a glance:
Company & Ticker: Click to drill into that company's full filing details and history
Event Summary: One-sentence AI summary of what happened
- "New CEO appointed"
- "Acquisition agreement signed"
- "Major customer contract terminated"
Filing Date: When the 8-K was filed with the SEC (not when event occurred - check filing for event date)
Impact Score: Our AI's assessment of potential market significance:
- High - Major strategic events (M&A, bankruptcy, CEO change)
- Medium - Notable but less dramatic (new contracts, minor restructuring)
- Low - Disclosure required but limited impact (small agreements, routine updates)
Tags: Quick visual categorization:
- M&A (Mergers & Acquisitions)

Sorting the Table
Click any column header to sort:
Sort by Date: Default view - newest filings first. Use this to stay current.
Sort by Company: Alphabetical order. Useful if monitoring specific stocks.
Sort by Impact: See high-impact events first. Good for quick daily scanning.
Pro tip: Sort by date, then filter by High impact to see today's most significant events.
Filtering the Feed
By Company/Ticker
Search bar at top:
- Type ticker symbol or company name
- Auto-complete helps you find companies
- Filters table to show only that company
Use case: You're researching NVDA and want to see all recent 8-Ks.
By Impact Level
Impact filter buttons:
- High - Show only major events
- Medium - Show moderate significance
- Low - Show all disclosures
- ALL (default) - No filter
Use case: Morning routine: Filter to High impact, see what happened overnight globally.
By Event Tags
Tag selector: Choose one or more tags:
- M&A

Use case: You're focused on M&A opportunities - filter to only M&A tags to build a target list.
By Sector/Industry
Available when filings loaded: Drop-down shows all sectors represented in recent filings

SEC Filing Information:
- 8-K item numbers disclosed (e.g., Item 5.02 for leadership changes)
- Accession number for verification
- Direct link to full filing on SEC.gov
Historical Correlation Data: When we have data on similar events:
- Number of times similar events occurred
- Percentage that led to upward/downward moves
- Average magnitude of moves
- Time horizons (5-day, 30-day, 90-day)

Reading the AI Summary
The summary structure:
Title: One-line event description Example: "Announced acquisition of competitor for $2.5B"
Details: Key specifics Example: "Cash and stock deal valued at $45/share, 30% premium. Expected to close Q2 2025. Adds 500k customers and expands into European market."
Historical Pattern: What usually happens Example: "Similar tech acquisitions: 8 of 11 moved +5% within 30 days. Average move: +7.3%."
Context: Why it matters Example: "This is the company's largest acquisition in 5 years and signals aggressive growth strategy."

Understanding Impact Scores
How Impact Is Calculated
Our AI considers:
Event Type Significance:
- M&A, bankruptcy, CEO change = typically High
- Contract wins, product launches = typically Medium
- Routine disclosures, small agreements = typically Low
Dollar Amounts:
- $1B+ deals usually High impact
- 1B usually Medium
- <$100M often Low (unless early-stage company)
Company Size Context:
- 50M company = High impact
- 50B company = Low impact
Historical Price Reactions:
- Events that historically moved prices 5%+ get higher scores
- Events that rarely moved prices get lower scores
When Impact Scores Might Be Wrong
Scenario 1: Market Already Knew 8-K confirms rumored event → Market already priced it in → Lower actual impact than score suggests
Scenario 2: Hidden Significance Routine-looking disclosure hides major shift → Score says Low, reality is High
Scenario 3: Market Conditions High-impact event during market crash → Gets lost in noise → Lower actual impact
Always do your own analysis - scores are a starting point, not a trading signal.

Q: How fast are 8-Ks processed?
A: We typically process and display filings within 5-15 minutes of SEC publication. During high-volume periods (e.g., earnings season), there may be slight delays.
Q: Do you show ALL 8-Ks?
A: We show all 8-Ks, but our AI filters out truly routine items (like entering into exhibits or minor amendments). You can still access full EDGAR filing if needed.
Q: What if I disagree with the AI summary?
A: Click through to the full 8-K on SEC.gov to read the source. Our AI summarizes for speed, but you should verify details before trading.
Q: Can I search historical 8-Ks from years ago?
A: Currently, we show the last 90 days by default. Historical research beyond that requires EDGAR directly. We're working on extended historical access.
Q: Why does an 8-K sometimes show up late?
A: Sometimes companies file an 8-K, then amend it quickly (8-K/A). We display the latest version, which might create slight timing differences.
Pro Tips
Tip 1: Speed Matters
8-Ks are time-sensitive. Markets can move within minutes of filing. Check the tracker:
- Before market open (overnight filings)
- After market close (after-hours filings)
- Periodically during trading day
Tip 2: Read Between the Lines
What's NOT said can matter as much as what is:
- Company announces "restructuring" → Often means layoffs or divestitures
- "Exploring strategic alternatives" → Code for "company might be for sale"
- "CEO stepping down to pursue other opportunities" → Sometimes forced out
Tip 3: Compare to Peer 8-Ks
Context from competitors: If 5 tech companies all filed leadership changes this month, industry-wide talent war might be happening.
Tip 4: Combine with Price Action
Check the chart: Did stock already move before 8-K filed? → Market may have known via rumors → 8-K confirms, doesn't create the move
Stock barely moved after High-impact 8-K? → Market doesn't care, or bad timing (other news overshadowing)
Tip 5: Verify High-Stakes Decisions
Before trading based on an 8-K:
- Read AI summary
- Click through to full SEC filing
- Read the press release (usually in exhibits)
- Check company website for additional context
- Verify details match before acting
Never trade solely on a summary - always verify material information.
